Alexander Davie is a corporate and securities attorney based in Nashville, Tennessee. Businesses of many varieties rely on his counsel and judgment throughout all stages of their growth. He assists founders and entrepreneurs in initial entity formation and structuring (including limited liability companies, corporations, and limited partnerships). He later counsels them on structuring and negotiating capital-raising transactions, including seed rounds, convertible notes, angel rounds, and venture capital investments, as well as mergers, acquisitions, and real estate transactions.
Businesses also go to Alex for their day-to-day legal needs. He drafts vendor and customer contracts, website terms of service, privacy policies, consulting agreements, commercial leases, and employment agreements. He also assists his clients in regulatory compliance with various governmental agencies including the Securities and Exchange Commission, United States Tax and Trade Bureau, the Tennessee Alcoholic Beverage Commission, and the Federal Trade Commission. Alex's first goal is to provide his clients with responsive service and candid and decisive legal advice for the difficult choices they frequently face.
Professionals within the investment management industry seek the expertise Alex gained when he served as general counsel to a private investment fund manager. He has drafted the formation documents of a number of private funds, including hedge funds and real estate investment partnerships. He also counsels investment advisers on their regulatory obligations, such as initial state or SEC registration and ongoing compliance with advertising rules, fiduciary standards, and policies and procedures.
Alex particularly enjoys working with companies and entrepreneurial ventures within the technology industry. As a believer in technology's ability to enrich people's lives by making them more convenient and allowing people to connect with each other in new ways, he is passionate about helping tech startups achieve success. He is active in Nashville's startup community as a mentor at the Nashville Entrepreneur Center and participates in numerous other events geared towards making Nashville a nationally ranked location for starting a business.
EXPERIENCE
Alex began his career in 2003 at Ballard Spahr LLP and later at Hangley Aronchick Segal Pudlin & Schiller, both of which are based in Philadelphia, PA. Beginning in 2008, Alex served as vice president and general counsel to a private investment fund manager. In 2011, he returned to private practice and founded Riggs Davie PLC.
REPRESENTATIVE TRANSACTIONS
Startups - Formed entities and drafted the governing documents for numerous startups, including technology firms, consumer products manufacturers, and internet retailers
Capital Raising - Drafted private placement memoranda and associated offering documents for various companies raising capital from seed and angel investors and institutional sources
Private Funds and Alternative Investments - Drafted offering documents for various private funds, including long-short equity hedge funds, real estate funds, and single asset special purpose funds; Successfully negotiated the sale of a controlling interest of a technology microcap hedge fund; Helped a financial firm structure the cross-border acquisition of international consumer receivables financed through the private offering of LLC membership interests in a special purpose entity
Real Estate - Represented landlords and tenants in numerous commercial leases for office, retail, and industrial space; Represented life insurance companies in the making of a significant number of mortgage-backed loans
M&A - Successfully negotiated and closed the acquisition of a real estate development firm for a private investment fund
Corporate Governance - Advised the director of a health care technology company on fiduciary issues associated with the potential sale of the company
Mezzanine Lending - Represented a lender in the making and syndication of a bridge loan to a health care company, which was secured by an equity interest in its subsidiary
Alcohol Regulatory Compliance - Represented a large Tennessee-based alcohol distributor in obtaining federal, state, and local permits from the United States Tax and Trade Bureau and the Tennessee Alcoholic Beverage Commission for the opening of several new warehouses; Counseled alcohol distributors in regulatory compliance issues arising out of their merger
